Terms of Service

These terms govern your use of the Nexus Digital website and the services we provide. The specific scope, price, and timeline of any engagement we deliver is set out in the individual proposal or Statement of Work for that engagement.
1. Acceptance of these terms
By accessing nexusdigital.studio, booking a call, or engaging Nexus Digital to deliver any service, you agree to these terms. If you are accepting on behalf of a company, you confirm that you have authority to bind that company.
2. About us
Nexus Digital is an Australian business based in Melbourne, Victoria, founded and operated by Ryan Lanyon. You can contact us at hello@nexusdigital.studio.
3. The services we offer
Nexus Digital installs NEXGEN OS™, our productized AI Operating System, into operations-heavy small and mid-sized businesses. Our services are organised as a ladder:
- AI Opportunity Call — free 30 minute discovery call
- Proposal Call — free 30 to 45 minute proposal walkthrough
- Strategic System Assessment — paid, 2-week deep dive into your operation
- NEXGEN OS™ Install — productized 8 to 12 week build and handover
- NEXGEN OS™ Scale — ongoing monthly retainer
The specific scope, deliverables, pricing, and timeline for each paid engagement are set out in the proposal and Statement of Work signed for that engagement. The proposal or SOW prevails over any general descriptions on this website.
4. Booking and scheduling
Calls booked through our Google Calendar appointment link are subject to mutual confirmation. We may decline or reschedule a booking at our discretion, including where there is a clear scope or fit mismatch. If we need to reschedule a confirmed call, we will give you as much notice as practical and offer alternative times.
5. Pricing and payment
All pricing is quoted in Australian dollars (AUD) and is GST inclusive where applicable. Payment terms for each engagement are set out in the relevant Statement of Work.
Standard install payment terms are:
- 25% deposit on signature of the Statement of Work
- 25% at the mid-build milestone
- 50% at handover
The Strategic System Assessment fee is paid up front. If you sign a NEXGEN OS™ Install Statement of Work within 30 days of assessment delivery, the assessment fee is credited in full against your install deposit.
Invoices are issued via Stripe and are payable on the terms set out in the invoice and the Statement of Work.
6. Intellectual property
On full payment of the relevant fees, the client owns the install delivered to them, including code, runbooks, dashboards, credentials and secrets, agent configurations, and any client-specific documentation produced during the engagement.
Nexus Digital retains all rights in its underlying methodology, frameworks, NEXGEN OS™ and AIOS modules, templates, and any pre-existing intellectual property. We may reuse non-confidential patterns, anonymised learnings, and generic components across other engagements.
7. Confidentiality
Each party agrees to keep the other party's confidential information confidential, and to use it only to deliver or receive the services. This obligation continues after the engagement ends. It does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law.
8. Satisfaction guarantee
Every NEXGEN OS™ Install ships with a 90-day satisfaction guarantee:
If the client and their team aren't fully satisfied that NEXGEN OS is making the business run more efficiently 90 days post-handover, we'll refund the full install fee. No clawback on what we delivered.
The guarantee is documented in the Statement of Work for each install engagement and operates on the terms set out there.
9. Warranties and disclaimers
We deliver our services with reasonable care and skill. Other than the satisfaction guarantee above and any rights you have under the Australian Consumer Law that cannot be excluded, we make no warranty that the system we install will achieve any specific revenue, efficiency, or business outcome.

10. Limitation of liability
To the maximum extent permitted by law, including the Australian Consumer Law, our total aggregate liability arising from or connected to an engagement is capped at the total fees paid to us for the specific engagement giving rise to the claim.
We exclude liability for indirect, consequential, incidental, or special loss or damage, including loss of profits, loss of revenue, loss of goodwill, loss of business opportunity, or loss or corruption of data, even where we have been advised such loss could occur.
Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law that cannot lawfully be excluded.
11. Termination
Either party may terminate an engagement on the terms set out in the relevant Statement of Work. Retainer engagements typically require 30 days' written notice. On termination, the client retains everything we have installed and paid for. Nexus Digital retains its methodology, frameworks, and any pre-existing intellectual property.
Either party may terminate immediately for material breach that is not remedied within a reasonable period after written notice.
12. Governing law and dispute resolution
These terms are governed by the laws of Victoria, Australia.
Before commencing court proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation and, if that fails, mediation administered by the Resolution Institute (Melbourne). If the dispute is not resolved through mediation within a reasonable period, either party may bring the dispute before the courts of Victoria, which have exclusive jurisdiction.
13. Changes to these terms
We may update these terms from time to time. The "Last updated" date at the top of the page reflects the current version. Material changes will be flagged at the top of the page for a reasonable period after the change. Your continued use of the site after a change takes effect constitutes acceptance of the updated terms.
